Pursuant to a review by the Board of Directors the Company determined on December 29, 2009 to amend and replace its existing code of Business Conduct and Ethics with the below Company Operating Principles. The Company believes the revised Code is substantively similar to the prior code with express additions relating to (i) improper influences of audits and (ii) prohibitions on gifts, gratuities, bribes and kickbacks.” In addition, pursuant to a review by the Board of Directors the Company has updated its Audit Committee Charter, Compensation Committee Charter, Nominating Committee Charter and Board of Directors Corporate Governance Policy.
